Charlotte Bell
Charlotte Bell is senior policy counsel in the General Counsel’s Office at the TMX Group. A member of the TSX Venture Exchange’s Listings Committee, she has primary responsibility for the development, implementation and ongoing interpretation of the Exchange’s listings policies. Her strategic and operational responsibilities include advocating for positive changes in the securities industry and expanding the public venture capital market community by engaging current and future generations of financiers, listed companies and their advisors.
Prior to joining TMX Group, Charlotte practiced securities law for over 25 years, most recently as associate counsel in the business department at Fasken Martineau DuMoulin LLP. Her practice focused on assisting emerging resource, industrial and technology companies to obtain local, national and international public and private financing. She guided numerous companies in Canada and the United States through their initial public offerings, the listing of their securities on the major Canadian stock exchanges and subsequent public and private equity and debt offerings. She also assisted companies listing on the TSX Venture Exchange by way of qualifying transactions, reverse takeovers, mergers and acquisitions. Charlotte also provided ongoing corporate governance advice on the myriad obligations faced by public companies.
Charlotte was previously a member of the TSX Venture Exchange National Advisory Committee and its former chair, as well as a member of the TSX Venture Exchange Vancouver Local Advisory Committee. She is a past secretary of the Securities Policy Advisory Committee to the British Columbia Securities Commission and a past chair of the Securities Law Subsection of the British Columbia Branch of the Canadian Bar Association. She is also a former member of the Vancouver Stock Exchange Advisory Committee, the Vancouver Stock Exchange Streamlining Committee, the Pacific District Council of the Investment Dealers Association and the British Columbia Civil Remedies Committee. Charlotte has also taught securities law for the Faculty of Business Administration at Simon Fraser University, Insight Conferences, the Continuing Legal Education Society of British Columbia, the Justice Institute of British Columbia and the TMX Group.
